How this is calculated

Personal cash requirement on exit. The total requirement for all shareholders = your personal cash requirement after tax, divided by your shareholding as a decimal. A 25% shareholder requiring £4M implies £16M for all shareholders. Each shareholder is assumed to need the same proportion of their proceeds as personal cash.

Personal and corporate split. Gross personal allocation = total required net cash divided by 76%. The remainder goes to the qualifying corporate. Net proceeds combine personal cash after CGT with the corporate proceeds.

Sale tax illustration. All sale proceeds are treated as gain, with no base cost, costs, allowances or reliefs. Personal CGT is fixed at 24%. Corporate exemption assumes the company owns the relevant shares and meets the substantial shareholdings exemption (SSE) conditions. Future withdrawals or disposals from company funds may be taxed.

10-year illustration. Tax saved = tax under all-personal ownership less tax under the corporate scenario. Projected value = initial saving x 1.10 to the power of 10. No further contributions or withdrawals assumed. This does not establish tax eligibility or guarantee investment returns.
